By creating an account or using Kairo's services, you confirm that you are at least 18 years old, have the legal authority to enter into this agreement, and agree to these Terms in full. If you are using Kairo on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Services

Kairo is a social media scheduling and management platform that allows you to plan, schedule, publish, and analyze content across multiple social media platforms including Twitter/X, LinkedIn, Instagram, Bluesky, Facebook, TikTok, Pinterest, YouTube, and Threads (collectively, "Social Platforms"). We may add or remove supported platforms at our discretion with reasonable notice.

3. Account Registration

To use Kairo, you must register for an account by providing accurate and complete information. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activity that occurs under your account
• Notifying us immediately of any unauthorized access
• Ensuring your account information remains accurate and up to date

We reserve the right to suspend or terminate accounts that provide false information or violate these Terms.

4. Subscription and Billing

Kairo offers paid subscription plans billed on a monthly or annual basis. By subscribing, you authorize us to charge the payment method on file for the applicable fees.

• Free Trial: New accounts receive a 14-day free trial. No credit card is required to start. At the end of the trial, you must subscribe to a paid plan to continue using the service.
• Recurring Billing: Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date.
• Price Changes: We will provide at least 30 days' notice before changing subscription prices. Continued use after the notice period constitutes acceptance of the new pricing.
• Taxes: Prices do not include applicable taxes. You are responsible for any taxes, levies, or duties imposed by tax authorities.

5. Acceptable Use Policy

You agree to use Kairo only for lawful purposes and in compliance with these Terms. You must not use our platform to:

• Violate any applicable laws, regulations, or third-party rights
• Post spam, unsolicited messages, or misleading content
• Distribute malware, viruses, or other harmful code
• Attempt to gain unauthorized access to our systems or other users' accounts
• Violate the terms of service of any connected Social Platform
• Engage in any activity that could harm Kairo's reputation or infrastructure
• Scrape, crawl, or data-mine content from our platform without permission

Violation of this policy may result in immediate suspension or termination of your account without refund.

6. Social Platform Compliance

When using Kairo to publish content to Social Platforms, you are responsible for ensuring compliance with each platform's own terms of service, community guidelines, and API usage policies. Kairo is not liable for any account suspension or penalty imposed by Social Platforms as a result of your content or usage patterns.

7. Intellectual Property

Your Content: You retain all ownership rights to the content you create, upload, or schedule through Kairo. By using our service, you grant Kairo a limited, non-exclusive license to store and process your content solely for the purpose of providing the service.

Our Platform: Kairo and its original content, features, and functionality are owned by Kairo and are protected by intellectual property laws. You may not copy, modify, distribute, or reverse engineer any part of our platform without prior written consent.

8. Team Members and Workspaces

Paid plans include the ability to invite team members to your workspace. As the workspace owner, you are responsible for all actions taken by invited team members. You can manage roles and permissions within your account settings. Removing a team member revokes their access immediately.

9. Data and Privacy

Your use of Kairo is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using Kairo, you consent to the collection and use of your data as described in our Privacy Policy.

10. Termination

You may cancel your Kairo account at any time from your account settings. Upon cancellation, your account will remain active until the end of the current billing period. We may suspend or terminate your account immediately if we determine that you have violated these Terms.

Upon termination, your right to use the service ceases immediately. We may retain certain data as required by law or for legitimate business purposes, as described in our Privacy Policy.

11. Disclaimer of Warranties

Kairo is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee that the service will be uninterrupted, error-free, or free from harmful components.

12. Limitation of Liability

To the maximum extent permitted by law, Kairo and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your use of or inability to use the service. Our total liability for any claim arising out of these Terms shall not exceed the amount paid by you to Kairo in the 12 months preceding the claim.

13. Indemnification

You agree to indemnify and hold harmless Kairo and its affiliates, officers, employees, and partners from any claims, liabilities, damages, losses, and expenses (including legal fees) arising out of your use of the service, your content, or your violation of these Terms.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the courts located in Delaware.

15. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or a prominent notice within the platform at least 14 days before the changes take effect. Your continued use of Kairo after the effective date of the revised Terms constitutes your acceptance.
